This Seller Policy (“Policy”) governs the onboarding, listing, operations, conduct, compliance, liabilities and responsibilities of all sellers (“Seller”, “Vendor”, “Merchant”) registered on fashionkart.ai.
This Policy is legally binding and forms an integral part of the Seller Agreement, Terms & Conditions, Return Policy, and Refund Policy.
1. PURPOSE & OBJECTIVE OF SELLER POLICY
The purpose of this Seller Policy is to:

Protect Users, Platform and ecosystem integrity
This Policy ensures:

All applicable laws
3. PLATFORM BUSINESS MODEL DISCLOSURE
fashionkart.ai is an AI-enabled multivendor marketplace.
The Platform acts strictly as:
A technology facilitator
A digital intermediary
The Platform does not:
Own Seller inventory
Manufacture products
Control Seller business decisions
Sellers operate as independent business entities.
4. LEGAL STATUS OF SELLERS
Each Seller acts in its independent capacity.
Nothing in this Policy creates:
Partnership
Agency
Joint venture
Employer-employee relationship
Sellers bear sole responsibility for:
Products
Pricing
Compliance
Customer obligations
5. BINDING NATURE & ACCEPTANCE
By registering as a Seller, the Seller:
Confirms having read and understood this Policy
Accepts all obligations and liabilities
Continued use of Seller dashboard constitutes ongoing acceptance.
If the Seller does not agree, they must:
Refrain from listing products
Discontinue Platform usage
6. HIERARCHY OF DOCUMENTS
In case of conflict, the following hierarchy shall apply:

7. NO IMPLIED RIGHTS OR ASSURANCES
Nothing in this Policy shall be construed as:
Guaranteed sales
Guaranteed visibility
Guaranteed payouts
Platform support or guidance does not create legal assurance.
8. AI & TECHNOLOGY DISCLAIMER (SELLER SIDE)
AI-based tools (including virtual try-on, analytics, insights) are:
Assistive tools only
Non-binding and non-guaranteed
Seller remains solely responsible for:
Product accuracy
Listing quality
AI outputs shall not be treated as warranties or representations.
9. SELLER ACKNOWLEDGEMENT
The Seller expressly acknowledges that:
The Platform does not guarantee:
Sales volume
Customer satisfaction
Seller assumes all commercial risk.
Violations of this Policy may result in:
Suspension
Penalties
Termination
10. CONTINUOUS COMPLIANCE OBLIGATION
Sellers must remain compliant at all times.
Compliance is not a one-time obligation.
Platform may audit Seller compliance periodically.
11. SELLER ELIGIBILITY CRITERIA
To be eligible for onboarding on the Platform, a Seller must:
Be legally competent to enter into binding contracts under Indian law
Operate as one of the following:
Individual / Proprietor
Partnership Firm
Limited Liability Partnership (LLP)
Private or Public Limited Company
Possess all licenses, registrations and approvals required for:
Manufacturing, sourcing or selling products
Operating a commercial business in India
Not be blacklisted, banned or prohibited by:
Any government authority
Regulatory body
Court or law enforcement agency
The Platform reserves the right to reject onboarding without assigning reasons.
12. SELLER ONBOARDING PROCESS
Seller onboarding shall be completed only through the official onboarding process provided by the Platform.
The onboarding process may include:
Account creation
Submission of business details
Upload of KYC documents
Bank account verification
Completion of onboarding does not guarantee:
Approval
Activation
Listing permission
The Platform may approve, reject or keep onboarding pending at its discretion.
13. MANDATORY KYC REQUIREMENTS
Sellers must submit accurate and valid KYC documentation, which may include but is not limited to:
PAN card (mandatory for all Sellers)
GST registration certificate (where applicable)
Business registration documents
Identity proof of authorized signatory
Address proof of business premises
Cancelled cheque or bank proof
Submission of forged, expired or misleading documents is strictly prohibited.
14. BANK ACCOUNT VERIFICATION
Sellers must provide a valid bank account in their own name.
Third-party, borrowed or proxy bank accounts are strictly prohibited.
Bank account details are required for:
Seller payouts
Refund adjustments
Chargeback recoveries
Failed bank verification may result in:
Payout suspension
Account restriction
Termination
15. KYC VERIFICATION & PLATFORM RIGHTS
The Platform reserves the right to:
Verify submitted KYC details
Seek additional documents
Conduct manual or automated checks
Verification may be conducted through:
Internal review
Third-party verification agencies
Government databases, where legally permissible
Verification completion does not imply permanent approval.
16. RE-KYC & PERIODIC VERIFICATION
Sellers may be required to undergo re-KYC:
Periodically
Upon change in business details
Upon detection of risk or non-compliance
Failure to complete re-KYC within stipulated timelines may result in:
Account suspension
Payout withholding
Delisting of products
17. ACCURACY & CONTINUOUS UPDATE OBLIGATION
Sellers must ensure that all onboarding and KYC information remains:
True
Accurate
Up to date
Sellers must promptly update:
Business address
Authorized signatory
Bank account details
Tax registrations
Failure to update information may be treated as misrepresentation.
18. MISREPRESENTATION & FALSE INFORMATION
Providing false, misleading or incomplete information constitutes a material breach of this Policy.
Consequences may include:
Immediate suspension
Termination
Forfeiture of payouts
Legal action
The Platform shall not be liable for losses arising from Seller misrepresentation.
19. ONBOARDING REJECTION & SUSPENSION RIGHTS
The Platform may:
Reject Seller onboarding
Suspend onboarding mid-process
Revoke approval at any time
Such action may be taken without:
Prior notice
Detailed justification
20. PROHIBITED SELLER CATEGORIES
The Platform may restrict or prohibit onboarding of Sellers involved in:
Counterfeit or infringing goods
Illegal, banned or restricted products
Fraudulent, deceptive or unfair trade practices
Activities posing reputational, legal or regulatory risk
21. NO GUARANTEE OF ACTIVATION OR SALES
Completion of onboarding does not guarantee:
Account activation
Listing approval
Order flow
Sellers acknowledge that:
Market demand may vary
Sales are not assured
22. SELLER ACKNOWLEDGEMENT (PHASE 2)
By submitting onboarding and KYC details, the Seller confirms that:
All information provided is true and accurate
They understand KYC is an ongoing obligation
The Platform may take action for non-compliance
23. PRODUCT LISTING AUTHORITY & RESPONSIBILITY
Sellers are solely responsible for creating, publishing and managing product listings.
Every listing represents a binding commercial offer made by the Seller to Users.
The Platform does not independently verify each listing before publication.
Any error, omission or misrepresentation in a listing shall be the sole responsibility of the Seller.
24. MANDATORY LISTING INFORMATION
Each product listing must include complete and accurate information, including but not limited to:
Product name and category
Brand name (where applicable)
Material, fabric composition and care instructions
Size charts and measurements
Country of origin (where legally required)
Pricing, discounts and applicable taxes
Stock availability and variants
Incomplete listings may be:
Rejected
Suspended
Delisted without prior notice
25. CONTENT ACCURACY & TRUTHFUL REPRESENTATION
All product descriptions must be:
True
Accurate
Non-deceptive
Sellers shall not:
Exaggerate features
Suppress material information
Mislead Users through imagery or text
Any claim made in a listing must be factually supportable.
Misrepresentation may result in:
Return/refund liability
Penalties
Account suspension or termination
26. PRODUCT IMAGES & MEDIA STANDARDS
Sellers must upload images that:
Accurately represent the product
Are clear, recent and relevant
Stock images are permitted only if:
They accurately reflect the product delivered
Misleading images (angles, filters, editing) intended to deceive Users are prohibited.
The Platform reserves the right to remove or replace non-compliant images.
27. IMAGE OWNERSHIP & INTELLECTUAL PROPERTY RIGHTS
Sellers represent and warrant that they:
Own all rights to uploaded images and content, or
Have valid licenses/permissions to use such content
Sellers shall not upload:
Copyrighted images without authorization
Third-party brand content without rights
Sellers grant the Platform a limited, non-exclusive license to use listing content for:
Display on the Platform
Marketing and promotion of listed products
Sellers shall indemnify the Platform against all IP claims.
28. PROHIBITION ON COUNTERFEIT & INFRINGING PRODUCTS
Sellers shall not list:
Counterfeit products
Lookalike or imitation goods
Products infringing trademarks, copyrights or designs
Upon detection, the Platform may:
Delist products
Suspend Seller account
Withhold payouts
Report to authorities where required
29. PRICING DISCIPLINE & FAIR TRADE PRACTICES
Sellers are free to determine product prices subject to law.
Sellers must ensure:
No deceptive pricing
No fake discounts or inflated MRP
Price discrepancies or errors may result in:
Order cancellation
Refund liability
Seller penalties
30. TAX DISPLAY & COMPLIANCE OBLIGATION
Sellers are solely responsible for:
Correct tax classification
GST compliance
Issuance of valid tax invoices
Incorrect tax display or non-compliance shall be borne entirely by the Seller.
The Platform is not responsible for Seller tax defaults.
31. STOCK AVAILABILITY & INVENTORY ACCURACY
Sellers must maintain accurate stock information at all times.
Listing products without available stock is prohibited.
Repeated order cancellations due to stock issues may result in:
Listing restrictions
Account penalties
Suspension
32. AI VIRTUAL TRY-ON – SELLER DISCLAIMER & RESPONSIBILITY
The Platform may offer AI-based virtual try-on features using Seller-provided content.
Sellers acknowledge that:
AI output is illustrative only
AI visualization does not alter Seller responsibility
Sellers remain solely responsible for:
Size accuracy
Fit description
Product delivery as listed
Sellers shall not:
Blame AI output for returns or disputes
Make claims based on AI visualization
33. NO SELLER RELIANCE ON AI OUTPUTS
AI tools are assistive technologies only.
Sellers must not rely on AI outputs as:
Product warranties
Guarantees of fit or appearance
Any claim or assurance made by Seller remains Seller’s responsibility.
34. PLATFORM RIGHTS TO MODIFY OR REMOVE LISTINGS
The Platform reserves the right to:
Review listings
Edit formatting for consistency
Remove or delist products violating policy
Such actions may be taken:
Without prior notice
Without liability to the Seller
35. CONSEQUENCES OF LISTING VIOLATIONS
Violations of listing rules may result in:
Temporary listing suspension
Permanent delisting
Account suspension or termination
Forfeiture of payouts
Legal action where applicable
36. SELLER ACKNOWLEDGEMENT (PHASE 3)
By listing products on the Platform, the Seller confirms that:
All listings are accurate and lawful
All content rights are owned or licensed
AI tools do not shift Seller liability
Violations may attract strict action
37. ORDER ACCEPTANCE & CONFIRMATION
Once an order is placed by a User, the Seller must:
Review the order details
Confirm availability of the product
Failure to accept or reject an order within the prescribed time may result in:
Automatic cancellation
Seller performance downgrade
Acceptance of an order creates a binding obligation on the Seller to fulfil the order.
38. ORDER CANCELLATION BY SELLER (RESTRICTED)
Sellers shall not cancel orders arbitrarily.
Seller-initiated cancellation is permitted only for:
Genuine stock unavailability
Legal or compliance issues
Force majeure events
Repeated Seller cancellations may result in:
Penalties
Listing restrictions
Account suspension
39. PACKAGING STANDARDS & PRODUCT SAFETY
Sellers must ensure:
Secure and tamper-proof packaging
Protection from damage, moisture and contamination
Packaging must include:
Product in original condition
Required labels and tags
Invoice / packing slip where applicable
Inadequate packaging leading to damage shall be Seller’s sole liability.
40. SHIPPING TIMELINES & DISPATCH OBLIGATION
Sellers must dispatch orders within:
Timelines communicated on the Platform
Delay in dispatch may result in:
Order cancellation
Negative performance metrics
Penalties or suspension
Sellers must ensure accurate shipment handover to logistics partners.
41. LOGISTICS PARTNER & COURIER RESPONSIBILITY
Sellers may ship orders using:
Platform-integrated logistics partners, or
Approved third-party couriers (where permitted)
Sellers remain responsible for:
Courier coordination
Shipment tracking
Delivery follow-up
Courier failures do not absolve Seller responsibility.
42. DELIVERY CONFIRMATION & PROOF
Sellers must maintain:
Shipment tracking details
Delivery confirmation records
Proof of delivery may include:
Courier tracking status
Delivery OTP or signature
Failure to provide delivery proof may result in:
Refund liability
Chargeback exposure
43. RTO (RETURN TO ORIGIN) MANAGEMENT
RTO occurs when:
User is unavailable
Incorrect address is provided
Delivery is refused
Sellers must:
Accept RTO shipments
Inspect returned goods
RTO costs may be:
Borne by Seller, or
Adjusted against payouts
as per Platform rules.
44. RTO LOSS & DAMAGE LIABILITY
Damage during RTO transit due to:
Poor packaging
Seller negligence
shall be Seller’s responsibility.
Sellers shall not raise claims against the Platform for RTO losses unless mandated by law.
45. DELIVERY FAILURE & CUSTOMER COMPLAINTS
Sellers must respond promptly to:
Delivery delays
Non-delivery complaints
Failure to resolve delivery issues may result in:
Refund obligations
Performance penalties
46. FORCE MAJEURE & DELIVERY DISRUPTIONS
Sellers shall not be liable for delivery delays caused by:
Natural disasters
Government restrictions
Logistics strikes
However, Sellers must:
Inform the Platform promptly
Cooperate in resolution
47. PERFORMANCE METRICS & MONITORING
The Platform may track Seller performance based on:
Order fulfilment rate
Dispatch timelines
RTO percentage
Customer complaints
Poor performance may lead to:
Reduced visibility
Listing restrictions
Account suspension
48. NO PLATFORM LIABILITY FOR SELLER FULFILMENT FAILURES
The Platform shall not be liable for:
Seller dispatch delays
Courier mishandling
Delivery failures
Seller bears full operational responsibility.
49. SELLER ACKNOWLEDGEMENT
By accepting orders on the Platform, the Seller acknowledges that:
Order acceptance creates a binding fulfilment obligation
Packaging and shipping risks are Seller’s responsibility
Delivery failures may result in penalties and refunds
50. SELLER RESPONSIBILITY FOR RETURNS
Sellers are the primary and principal party responsible for handling product returns.
Sellers must strictly adhere to:
Platform Return Policy
Product-category specific rules
Sellers shall:
Inspect returned products promptly
Communicate acceptance or rejection within stipulated timelines
Failure to act on returns may result in:
Automatic refund initiation (where legally required)
Seller penalties
Account restriction
51. SELLER OBLIGATIONS DURING RETURN INSPECTION
Sellers must conduct inspections in good faith.
Inspection must verify:
Product condition
Usage or tampering
Packaging and tag integrity
Sellers shall not:
Unreasonably reject valid returns
Delay inspection to avoid refunds
Inspection records may be audited by the Platform.
52. SELLER RESPONSIBILITY FOR REFUNDS
Refund liability lies primarily with the Seller.
Sellers must ensure:
Sufficient settlement balance
Timely confirmation of refund eligibility
The Platform may:
Deduct refund amounts from Seller payouts
Withhold future settlements
Sellers waive claims against the Platform for such deductions.
53. REFUND TIMELINES & SELLER COOPERATION
Sellers must cooperate in refund processing within:
Timelines specified by Platform
Delays caused by Seller inaction may result in:
Penalties
Chargeback exposure
Temporary payout suspension
54. SELLER LIABILITY IN CASE OF WRONG DELIVERY OR DAMAGE
Sellers are fully liable for refunds where:
Wrong product is delivered
Product is damaged due to poor packaging
Listing materially differs from delivered product
Sellers shall bear:
Refund cost
Reverse logistics cost
Any applicable penalties
55. CUSTOMER DISPUTES & ESCALATION HANDLING
Sellers must respond to:
Customer complaints
Platform escalation requests
promptly and professionally.
Sellers shall not:
Ignore escalations
Engage in abusive communication
Platform may escalate unresolved disputes internally.
56. PLATFORM ROLE IN DISPUTES (LIMITED)
The Platform acts as:
A facilitator
A communication bridge
The Platform shall not:
Act as arbitrator
Assume Seller liability
Guarantee dispute outcomes
57. CHARGEBACKS & BANK DISPUTES (SELLER SIDE)
Sellers bear primary liability for:
Bank chargebacks
Card disputes
Sellers must provide:
Proof of delivery
Transaction records
upon request.
Chargeback losses may be recovered from Seller settlements.
58. SELLER MISCONDUCT IN DISPUTES
Seller misconduct includes:
Repeated unreasonable rejections
Non-response to escalations
False or misleading explanations
Abuse of policy loopholes
Such misconduct may lead to:
Suspension
Delisting
Termination
Legal action
59. DOCUMENTATION & RECORD RETENTION
Sellers must retain:
Order records
Return inspection records
Refund confirmations
Records must be produced upon request for:
Audit
Legal compliance
Regulatory inquiries
60. SELLER ACKNOWLEDGEMENT (PHASE 5)
By selling on the Platform, the Seller acknowledges that:
Returns and refunds are Seller obligations
Dispute mishandling may result in penalties
Platform deductions are binding and final
61. SELLER PAYOUT MODEL & STRUCTURE
Sellers shall receive payouts for completed and eligible orders only.
Payouts are subject to:
Successful order delivery
Expiry of return window
No pending disputes or chargebacks
The Platform operates a settlement-based payout model, not real-time disbursement.
Payout schedules may be:
Weekly
Bi-weekly
As otherwise communicated on the Platform
The Platform does not guarantee fixed payout dates.
62. COMMISSION & PLATFORM FEES
Sellers agree to pay the Platform:
Commission
Service fees
Technology or facilitation fees
Fee rates may vary based on:
Product category
Seller tier
Commercial agreement
Fees shall be:
Automatically deducted from Seller settlements
Non-refundable once charged
63. TAXES, TDS & STATUTORY DEDUCTIONS
Sellers are solely responsible for:
GST compliance
Tax invoicing
The Platform may deduct:
TDS as per applicable law
Other statutory levies
Tax deductions shall not be treated as Platform liability.
64. PAYOUT WITHHOLDING RIGHTS
The Platform reserves the right to withhold Seller payouts, in full or part, in cases of:
Pending returns or refunds
Chargebacks or bank disputes
Suspected fraud or policy violation
Non-compliance with KYC or re-KYC
Legal notices, court orders or regulatory directions
Withholding does not require prior notice.
65. SETTLEMENT ADJUSTMENTS & NETTING OFF
The Platform may adjust Seller payouts against:
Refund amounts
Chargeback losses
Penalties
Logistics or RTO costs
Adjustments may span across:
Multiple settlement cycles
Net settlement figures displayed on the Platform shall be final.
66. NEGATIVE BALANCE & RECOVERY
If deductions exceed payable amounts, the Seller account may reflect a negative balance.
Sellers must clear negative balances within stipulated timelines.
The Platform may recover dues by:
Adjusting future payouts
Legal recovery proceedings
Third-party collection agencies
67. NO INTEREST OR GUARANTEE ON PAYOUTS
Sellers shall not claim:
Interest on delayed payouts
Compensation for withholding
Payout delays due to:
Bank processing
Compliance checks
Disputes
shall not give rise to claims.
68. BANK ACCOUNT MAINTENANCE OBLIGATION
Sellers must maintain:
Active
Valid
Verified bank accounts
Failed or incorrect bank details may result in:
Payout failure
Reprocessing delays
The Platform is not liable for losses due to incorrect bank details.
69. FINANCIAL RECORDS & AUDIT RIGHTS
The Platform may maintain payout and settlement records for:
Audit
Compliance
Legal purposes
Sellers consent to such record maintenance and audit.
70. SELLER ACKNOWLEDGEMENT (PHASE 6)
By continuing as a Seller on the Platform, the Seller acknowledges that:
Payouts are conditional and settlement-based
Deductions, withholdings and recoveries are binding
Platform calculations shall be final
71. SELLER SUSPENSION RIGHTS
The Platform reserves the right to suspend Seller access, wholly or partially, in cases of:
Policy violations
Poor performance metrics
Excessive returns, refunds or chargebacks
Customer complaints or escalations
Non-compliance with KYC, tax or legal obligations
Suspension may include:
Listing freeze
Payout withholding
Dashboard access restriction
Suspension may be imposed:
With or without prior notice
Temporarily or indefinitely
72. SELLER TERMINATION (ACCOUNT CLOSURE)
The Platform may permanently terminate Seller access in cases of:
Fraud or misrepresentation
Repeated or material policy breaches
Sale of prohibited or counterfeit products
Legal or regulatory risk exposure
Termination results in:
Permanent delisting of products
Closure of Seller dashboard
Forfeiture of promotional benefits
Termination does not waive Seller’s outstanding liabilities.
73. EFFECT OF SUSPENSION OR TERMINATION
Upon suspension or termination:
All pending payouts may be withheld
Refund and chargeback obligations remain enforceable
The Platform may continue to:
Deduct dues
Recover losses
Cooperate with authorities
Seller obligations survive termination.
74. INDEMNITY BY SELLER (CRITICAL CLAUSE)
The Seller agrees to indemnify, defend and hold harmless the Company, its directors, officers, employees and partners against all claims, losses, damages, penalties, costs and expenses arising from:
Product defects or quality issues
Misrepresentation or false listings
IP infringement or counterfeit goods
Tax non-compliance
Customer claims, disputes or lawsuits
Regulatory or government action
Seller breach of this Policy or applicable law
Indemnity obligations survive termination.
75. LIMITATION OF PLATFORM LIABILITY (SELLER SIDE)
To the maximum extent permitted by law:
The Platform shall not be liable for:
Loss of business or profits
Loss of reputation or goodwill
Indirect or consequential damages
If liability is imposed despite exclusions, total liability of the Company shall be limited to:
the platform fees actually received from the Seller in the preceding three (3) months.
76. CONFIDENTIALITY & DATA USE
Sellers shall maintain confidentiality of:
Platform systems
Pricing models
Customer data
Business insights
Sellers shall not:
Misuse data
Share confidential information
Breach of confidentiality may result in:
Immediate termination
Legal action
77. DATA PROTECTION & PRIVACY COMPLIANCE
Sellers must comply with:
Applicable data protection laws
Platform privacy requirements
Sellers shall use customer data only for order fulfilment.
Any misuse of data shall be treated as a serious violation.
78. FORCE MAJEURE (SELLER OBLIGATIONS)
Neither party shall be liable for failure or delay due to:
Natural disasters
Government actions
Network or system failures
Pandemics or emergencies
Force majeure does not excuse:
Fraud
Willful misconduct
79. POLICY MODIFICATION RIGHTS
The Platform may modify this Seller Policy at any time.
Updated versions shall be effective upon publication.
Continued Seller activity constitutes acceptance of modifications.
80. SEVERABILITY
If any provision is held invalid:
Remaining provisions remain enforceable
Invalid clauses shall be replaced with lawful equivalents.
81. GOVERNING LAW & JURISDICTION
This Seller Policy shall be governed by the laws of India.
Exclusive jurisdiction shall lie with the courts of Lucknow, Uttar Pradesh.
Subject to mandatory statutory remedies, parties submit to such jurisdiction.
82. FINAL SELLER ACKNOWLEDGEMENT
By registering and operating as a Seller on fashionkart.ai, the Seller expressly confirms that:
They have read and understood this Seller Policy in full
They accept all obligations, liabilities and limitations
They waive claims inconsistent with this Policy
They agree to be legally bound by this Policy
